Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the TradeDeskPro platform, website at tradedeskpro.net, and related services (collectively, the “Service”) provided by TradeDeskPro (“we,” “us,” or “our”). By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy.
If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Description of Service
TradeDeskPro is a software-as-a-service platform for service businesses that provides tools including lead management, communications (voice, SMS, and email), AI-assisted receptionist and automation features, pipeline management, reporting, and related business operations functionality. Features available to you depend on your subscription plan.
3. Account Registration and Responsibilities
- You must provide accurate, current, and complete account information and keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must promptly notify us of any unauthorized access or security breach.
- You must comply with all applicable laws, regulations, and carrier requirements when using the Service.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Send spam, unsolicited messages, or communications without proper consent
- Harass, threaten, defraud, or mislead any person
- Transmit malware, attempt unauthorized access, or interfere with the Service
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service for any unlawful, harmful, or abusive purpose
We may suspend or terminate accounts that violate these Terms or pose risk to the Service, our providers, or other users.
5. Messaging, SMS, and Communications
The Service includes voice, SMS, MMS, and email communications powered by third-party providers such as Twilio and Retell AI. By using these features, you agree that:
- You will obtain all legally required consent from your customers and contacts before sending automated or marketing messages on their behalf.
- You consent to receive automated text messages and calls from TradeDeskPro related to your account, service notifications, and features you enable. Message frequency varies based on account activity and settings.
- You may opt out of SMS messages from TradeDeskPro at any time by replying STOP. Reply HELP for help. Message and data rates may apply.
- Text messaging opt-in data will not be shared with third parties for marketing purposes, as described in our Privacy Policy.
- Call recording and transcription features may be enabled in your account. You are responsible for providing any legally required notice to parties being recorded, where applicable.
6. Subscription, Fees, and Payment
- Access to the Service requires a paid subscription unless otherwise stated. Pricing is displayed on our website and at checkout.
- A one-time setup fee may apply in addition to your monthly subscription. Fees are processed through Stripe.
- Subscriptions renew automatically each billing period unless cancelled in accordance with these Terms.
- Founding member or promotional pricing, if offered, applies according to the terms presented at signup.
- All fees are non-refundable except where required by law or expressly stated otherwise.
- We may change pricing with reasonable notice. Price changes will not affect your locked founding member rate if applicable under your plan terms.
7. Your Data and Content
You retain ownership of data and content you submit to the Service (“Customer Data”). You grant us a limited license to use, store, process, and transmit Customer Data solely to provide and improve the Service, comply with law, and enforce these Terms. You are solely responsible for the accuracy, legality, and appropriateness of Customer Data and for obtaining necessary rights and consents.
8. Intellectual Property
The Service, including software, design, trademarks, and documentation, is owned by TradeDeskPro and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service. You may not copy, modify, distribute, or reverse engineer the Service except as permitted by law.
9. Third-Party Services
The Service integrates with third-party providers including Supabase, Twilio, Retell AI, Stripe, Resend, and others. Your use of those integrations may be subject to the third party's terms. We are not responsible for third-party services outside our reasonable control.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE. YOU USE AI AND AUTOMATION FEATURES AT YOUR OWN DISCRETION AND ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE RELYING ON THEM.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEDESKPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless TradeDeskPro from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any law or third-party rights, including messaging consent and telemarketing requirements.
13. Termination
You may cancel your subscription at any time through your account or by contacting support. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if continued provision of the Service creates legal or operational risk. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive, including payment obligations, disclaimers, limitation of liability, and indemnification.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. Material changes may be communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
